General Terms and Conditions

This translation is provided for information only. The German version is legally binding; German law applies.

for the use of tiaki (app.tiaki.de) provided by INREMA Unternehmensberatung GmbH, Rentmeister-Wilthelm-Weg 16, 33181 Bad Wünnenberg, Germany (“INREMA”, “we”).

§ 1 Scope

(1) These Terms and Conditions apply to all contracts for the use of tiaki between INREMA and its users (“you”).

(2) tiaki is intended exclusively for entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), i.e. persons who, when registering, act in the exercise of their commercial or independent professional activity.

(3) Deviating terms apply only if we expressly agree to them in text form.

§ 2 Services

(1) tiaki is software for planning, creating, approving and publishing social media posts and for maintaining business profiles.

(2) Registration and the user account are free of charge. Paid services, in particular setting up and running a workspace for a business, are shown separately and with their price before the contract is concluded; the terms agreed at that time apply to them in addition.

(3) tiaki is under development. Features may be added, changed or discontinued, provided this is reasonable for you.

§ 3 Registration and access

(1) Registration is currently only possible with an invitation code. There is no entitlement to registration.

(2) Your details must be true and complete. Login credentials and two-factor devices must be kept secret and protected from access by third parties. If you suspect that third parties have gained knowledge of them, you will inform us without undue delay at hallo@tiaki.de.

§ 4 Your content and obligations

(1) You are responsible for the content you create, store or publish with tiaki. You ensure that it does not infringe the rights of third parties and does not violate applicable law or the rules of the respective platform.

(2) You grant us the simple (non-exclusive) rights, limited to the term of the contract, that we need to store, process and publish your content on your behalf.

(3) Abusive use is prohibited, in particular automated mass access, circumventing security measures or unsolicited advertising messages.

§ 5 Availability

We strive for high availability. Maintenance, security measures and disruptions beyond our control may temporarily restrict use. During free use, there is no entitlement to any particular level of availability.

§ 6 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).

(2) In the case of slight negligence, we are liable only for breach of a material contractual obligation, and limited to the foreseeable damage typical for the contract. For free use, liability for slight negligence is excluded to the extent permitted by law.

(3) We accept no liability for decisions and outages of external platforms (for example Instagram, Facebook, Google).

§ 7 Term and termination

You can terminate the free user account at any time without notice by writing to us at hallo@tiaki.de or by deleting it in the application as soon as this feature is available. We can terminate the free account with 14 days’ notice; the right to terminate without notice for good cause remains unaffected.

§ 8 Data protection

How we process personal data is described in our Privacy policy. Where you process personal data of third parties via tiaki, we will conclude a data processing agreement with you on request.

§ 9 Changes to these Terms and Conditions

We will notify you of changes in text form at least six weeks before they take effect. If you do not object within this period, the changes are deemed accepted; we will point out this consequence in the notification.

§ 10 Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Paderborn. Should any provision be invalid, the validity of the remaining provisions remains unaffected.
